TAOS SOUND – TERMS & CONDITIONS


1. Precedence of Terms

The client explicitly waives its own standard terms and conditions, even if such terms were drafted after these Terms & Conditions. Any deviation must be expressly agreed to in writing by Taos Sound.

2. Payment Terms

Invoices are payable within 21 days, unless otherwise specified on the invoice or order. In the event of non-payment by the due date, Taos Sound may charge 10% interest on the outstanding balance and may suspend services without notice.

3. Non-Payment Beyond 60 Days

If any amount remains unpaid 60 days after the due date, Taos Sound may engage a debt recovery service. All recovery and legal fees shall be paid by the client.

4. Withholding Taxes

Any withholding tax applied by the client’s jurisdiction is the client’s responsibility. The full invoice amount remains payable to Taos Sound without deduction.

5. Service Commitment

Taos Sound will use commercially reasonable efforts to meet deadlines and provide high-quality services, but no specific results are guaranteed. Taos Sound will not be named as a third party in claims made against the client by attendees or consumers.

6. Claims and Complaints

Any claim related to goods or services must be submitted in writing by certified or registered mail to Taos Sound within 8 days of delivery or service completion.

7. Governing Law

All contractual relations are governed by the laws of the United States and the State of New Mexico.


EXTENDED EVENT RIDER


The following Rider applies to any “Extended Event,” defined as:

  • Any event requiring Taos Sound personnel onsite for more than 10 consecutive hours, or
  • Any multi-day event, including but not limited to festivals, fairs, long-form concerts, and weekend-long productions.

A. LABOR & PERSONNEL REQUIREMENTS

1. Overtime Labor Fees

Events requiring personnel onsite for more than 10 hours per day may incur overtime labor charges. These are based on total hours worked, number of personnel onsite, and schedule changes or delays caused by the client.

2. Early Load-In / Late Load-Out

If the client requests load-in earlier than scheduled, load-out later than scheduled, overnight teardown, multiple resets, or additional personnel to meet schedule revisions, Taos Sound may charge early load-in fees, late load-out fees, or emergency labor fees for schedule changes under 24 hours’ notice.


B. MEALS & LODGING

1. Meals

For any shift exceeding 10 hours, the client must provide one meal per 5 hours of work per Taos Sound staff member. A vegetarian option must be available. Meals must be provided at no cost to Taos Sound or its personnel. A $25 meal buyout per meal may be acceptable if arranged in advance.

2. Lodging for Multi-Day Events

For multi-day events, the client must provide one room per Taos Sound staff member unless otherwise agreed in writing. Rooms must be clean, safe, private, and reasonably close to the event site. Taos Sound personnel will not share beds with each other, and will not share rooms with non–Taos Sound individuals. Lodging must be provided at no cost to Taos Sound or its personnel.


C. TRAVEL & PER DIEM

If the event requires travel outside Taos County or out of state, a travel per-diem may be charged at standard industry rates. Mileage or fuel charges may apply when Taos Sound vehicles are used. Airfare, baggage fees, or vehicle rentals must be paid by the client or reimbursed at cost.


D. EQUIPMENT & BACKLINE PROTECTION

1. Equipment Security

The client is responsible for providing adequate security for all Taos Sound equipment onsite. This includes preventing unauthorized access to the stage, FOH, backstage, and any areas where equipment is deployed. Damage resulting from insufficient security is the client’s financial responsibility.

2. Weather Protection

For outdoor events, the client must provide weather protection for all equipment and technical areas. Taos Sound reserves the right to power down equipment, halt operation, or evacuate gear if weather or environmental conditions pose a safety risk. Taos Sound is not liable for delays or loss of show time due to unsafe weather.

3. Power Requirements

The client must provide stable, dedicated electrical power with proper grounding and capacity suitable for the equipment booked. Circuits must not be shared with food vendors, refrigeration, or other high-draw devices. Taos Sound may refuse to operate equipment if power is unsafe or insufficient.


E. CLIENT RESPONSIBILITIES

The client agrees to provide the following at no cost to Taos Sound:

1. Access & Scheduling

Guaranteed venue access for load-in and load-out, a final schedule provided at least 7 days prior to the event, and notice of major schedule changes at least 24 hours in advance.

2. Stage & Venue Requirements

Safe working conditions, a clean and stable stage surface, weather protection where applicable, and a dedicated space for Front of House operations.

3. Technical Requirements

Accurate stage plots, input lists, run sheets, and production-related documents; a designated point of contact for production decisions; and timely communication regarding artist changes, cancellations, or additions.

4. Liability

The client is responsible for any damage caused by audience members, performers, volunteers, or staff not employed by Taos Sound, and for ensuring compliance with local regulations, sound ordinances, and venue rules.


F. CANCELLATION POLICY

Unless otherwise agreed in writing:

  • Cancellation within 30 days of the event: 25% fee
  • Cancellation within 14 days of the event: 50% fee
  • Cancellation within 72 hours of the event: 100% fee

If travel or lodging has already been booked, the client must reimburse non-refundable costs.


G. FORCE MAJEURE

Taos Sound is not liable for delays, interruptions, or an inability to provide production services due to circumstances beyond reasonable control, including severe weather, natural disasters, equipment-damaging conditions, venue failures, civil disorder, utility outages, government restrictions, or labor disputes not involving Taos Sound employees. Taos Sound may halt setup, operation, or strike until conditions are safe for personnel and equipment.


H. ENTIRE AGREEMENT

These Terms & Conditions and the Extended Event Rider constitute the entire agreement between the client and Taos Sound unless modified in writing and signed by both parties.
